Part A. Website terms

1. About these Terms

The website dalenetwork.com (the "Site") is operated by Dale Network Corporation, a California corporation doing business as Dale! Network ("Dale Network," "dale!," "we," "us," or "our"), located at 6850 Bovey Ave, Reseda, CA 91335.

These Terms govern your use of the Site and, for approved affiliate publishers, the Dale! Network affiliate program (Part B). Our Privacy Policy explains how we handle personal information and is part of these Terms. By using the Site you agree to these Terms. If you do not agree, please do not use the Site. Advertiser services, media buying, and research services are provided under separate written agreements or insertion orders, which control if they conflict with these Terms.

2. Use of the Site

You must be at least 18 years old and able to enter into a binding agreement to use the Site. You agree to use it lawfully and not to interfere with it, attempt unauthorized access, copy or scrape it, or use it to send spam or malicious content. The Site, including its text, graphics, logos, and software, is owned by Dale Network or its licensors and protected by intellectual property laws. We grant you a limited, revocable license to view it for your own business use.

3. Third-party sites

The Site may link to third-party websites, including advertiser and publisher sites. We do not control them and are not responsible for their content or practices.

4. Disclaimers and limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. TO THE FULLEST EXTENT PERMITTED BY LAW, DALE NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO PART OF THIS SECTION MAY NOT APPLY TO YOU.

Part B. Affiliate program terms

This Part applies to anyone who applies to or participates in the Dale! Network affiliate program (an "Affiliate"). "Site" in this Part also refers to the website(s) you submit in your application. An "Advertiser" is a company whose offers we make available through the program, and a "Campaign URL" is a tracking link we provide for an Advertiser's offer.

5. Enrollment

Submitting an application means you accept this Agreement. We review each application and may accept or reject it at our sole discretion. You represent that the information in your application is accurate, that you are at least 18, and that you are authorized to bind your company if you apply on its behalf. If we reject your application, you may reapply after a significant change to your application information or site content.

Minimum requirements. Your site must:

  • be fully functional (no "under construction" sites or sections) and use a top-level domain name;
  • receive at least 3,000 unique page views per month;
  • be written in English, Spanish, or Portuguese and contain only content in those languages;
  • contain substantial content, not just advertisements and advertising links;
  • not exclusively offer incentives to users to click on ads, unless the only programs you run explicitly allow incentives (incentives include cash, points, prizes, contest entries, and anything else of value);
  • not use spawning or exit pop-ups, or place our advertisements in a framed environment on your or other sites; and
  • not contain illegal, offensive, infringing, or objectionable content.

6. Promoting Advertiser offers

You may use only Campaign URLs, banners, and text that we have approved, and you may not create your own creative or advertising text without our prior approval. Only approved sites may use Campaign URLs. You may post as many links to Campaign URLs on your site as you like, subject to any program-specific requirements. You are responsible for complying with all laws that apply to your promotion, including the CAN-SPAM Act, the Telephone Consumer Protection Act, the FTC's rules on endorsements and disclosures, and applicable privacy and consumer protection laws. You must not make false or misleading claims about any Advertiser, offer, or the Dale! Network program.

7. Email promotion (zero tolerance for spam)

If you promote through email, you agree that all email mentioning or promoting Dale Network or its Advertisers:

  • is strictly permission-based and complies with the CAN-SPAM Act;
  • has no deceptive from lines, subject lines, or headers, and identifies the true sender and a working reply address;
  • includes a functioning unsubscribe link, and you honor opt-outs within 10 days;
  • includes a valid physical postal address; and
  • is backed by records you maintain (at a minimum the subscriber's email address, date and time, IP address, and original subscription source), which you will give us within 24 hours of our request.

Violating this section may result in forfeiture of your commissions and termination of your account, and you will be responsible for resulting damages.

8. Commissions and payment

We pay commissions on unique clicks, actions, and registrations, as specified for each offer, when a person follows a Campaign URL from your site to an Advertiser and completes the required action, which may include completing a registration with valid, accurate, and verifiable information.

  • Timing. We pay approximately 30 days after the end of the month, after we receive payment from the Advertiser. Late Advertiser payments are credited in the month we receive them. If an Advertiser does not pay us, we will make reasonable efforts to collect but do not guarantee payment of uncollected amounts.
  • Minimum. We issue payment once your account balance reaches $50 ($100 for Affiliates outside the United States). Below the minimum, the balance carries over until it is reached.
  • Method and taxes. We pay by the payment methods we make available in your account. You are responsible for all taxes on your earnings, and we may require a tax form (such as a W-9 or W-8) before paying you and may withhold where the law requires.
  • Reversals. We may reverse or withhold commissions for actions an Advertiser rejects as invalid, duplicate, incentivized in violation of program rules, or fraudulent.

9. Fraud

We have zero tolerance for fraud and use fraud detection tools to monitor traffic. Examples of fraud include click-through rates far above industry averages without evident justification, generating only clicks with no site traffic to support them, and leads produced by fake redirects, automated software, or other non-genuine means as determined by us or an Advertiser. If we detect suspected fraud, we may set your account inactive and hold payment pending investigation, and we may ask you to provide evidence that the traffic is legitimate. If we determine in good faith that you created or inflated clicks or leads by fraudulent methods, you will forfeit the affected commissions, we may terminate your account, and we may withhold future earnings or require repayment of amounts already paid for fraudulent activity. If we notify you of fraudulent activity on your site and you fail to stop it, you are responsible for the resulting costs and legal fees.

10. Term and termination

This Agreement continues until terminated. You may close your account at any time by emailing [email protected]. We may suspend or terminate your participation at any time for any reason, effective on notice by email, and we will pay commissions properly earned and not subject to reversal or forfeiture under this Agreement. Sections that by their nature should survive termination will survive.

11. Independent contractors

You and Dale Network are independent contractors. Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship.

Part C. General terms

12. Indemnification

You agree to indemnify and hold harmless Dale Network and its officers, directors, employees, shareholders, agents, licensors, and suppliers against all losses, claims, expenses, suits, damages, costs, and liabilities (including reasonable attorneys' fees) arising from your site, pages, content, or actions, including claims of copyright or trademark infringement, defamation, or violation of law, and your breach of this Agreement.

13. Limitation of liability for Affiliates

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF, OR INABILITY TO USE, THE SITE OR THE PROGRAM, INCLUDING LOST INCOME FROM SERVICE DISRUPTION. WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, ABOUT ANY SERVICES OR PRODUCTS, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU GUARANTEE THAT ALL CONTENT, PRODUCTS, AND SERVICES ON YOUR SITE ARE LEGAL TO DISTRIBUTE AND THAT YOU OWN OR HAVE THE RIGHT TO USE ALL COPYRIGHTED MATERIAL YOU USE.

14. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms, the Site, or the program must be brought in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time by posting the new version here with a new "Last updated" date. For material changes to the Affiliate program terms, we will give reasonable notice by email or through the member area. If you keep using the Site or the program after a change, you accept the updated Terms.

16. General

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, our Privacy Policy, and any written agreement between you and us are the entire agreement between us about the Site and the program.
